Terms of Service

The terms and conditions governing your use of Cadence by Stratium.

Effective date: April 1, 2026

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "Customer") and Stratium ("we", "us", or "our") governing your access to and use of the Cadence platform, available at app.stratiumhq.com, and any related services, features, and content (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not use the Service.

2. Description of Service

Cadence is an executive orchestration platform designed to help senior leaders and their executive assistants manage daily planning, calendar optimisation, task management, strategic alignment, meeting preparation, and reporting. The Service includes AI-powered features such as action item extraction from transcripts, schedule suggestions, and executive briefings.

Features may vary depending on your subscription plan and may be updated, modified, or discontinued at our discretion with reasonable notice.

3. Account Registration and Security

To use Cadence, you must create an account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us promptly of any unauthorised access or security breach
  • Keeping your account information accurate and up to date

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

4. Subscription and Billing

4.1 Pricing

Cadence is offered on a per-executive subscription basis. Current pricing is displayed on our pricing page. Prices are subject to change with at least 30 days' written notice before your next billing cycle.

4.2 Free Trial

We may offer a free trial period at our discretion. During the trial, you will have access to the Service without charge. At the end of the trial period, your account will convert to a paid subscription unless you cancel before the trial expires. We will notify you before any charges are applied.

4.3 Billing and Payment

Subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. Payment is processed through our third-party payment provider. You authorise us to charge your designated payment method for all applicable fees.

If payment fails, we will attempt to collect the outstanding amount and may suspend access to the Service until payment is resolved.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting us at hello@stratiumhq.com. Upon cancellation, you will retain access to the Service until the end of your current billing period. We do not provide prorated refunds for partial billing periods unless required by applicable law.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable law, regulation, or third-party rights
  • Attempt to gain unauthorised access to the Service, other accounts, or underlying systems or networks
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Use the Service to transmit malware, viruses, or other harmful code
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service for competitive analysis or to build a competing product
  • Share, resell, or sublicense your access to the Service without our prior written consent
  • Use automated means (bots, scrapers, crawlers) to access the Service except through our official API with proper authorisation

We reserve the right to investigate and take appropriate action against any violation, including suspending or terminating your account.

AI Fair Usage

Cadence includes AI-powered features such as daily plan generation, meeting transcript processing, image-to-task extraction, and risk detection. These features are subject to a fair usage policy designed to ensure consistent service quality for all customers.

Each plan includes a monthly allocation of AI operations per executive seat: Starter plans include up to 200 AI operations per executive per month, Professional plans include up to 500, and Enterprise plans have custom limits agreed during onboarding. An “AI operation” includes any action that invokes AI processing, such as generating a daily plan, analysing a transcript, extracting items from an image, or running risk detection.

If your usage consistently exceeds your plan's allocation, we will notify you and work with you to find an appropriate plan or custom arrangement. We will not restrict or degrade your AI features without reasonable notice. Programmatic or automated bulk usage of AI features (outside of normal product workflows) is not permitted without prior written agreement.

6. Intellectual Property

The Service, including its design, features, code, documentation, branding, and all related intellectual property, is and remains the exclusive property of Stratium and its licensors. These Terms do not grant you any ownership rights in the Service.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes in accordance with these Terms and your subscription plan.

"Stratium", "Cadence", and related logos are trademarks of Stratium. You may not use our trademarks without prior written permission.

7. Data Ownership

You retain full ownership of all data you submit to the Service ("Customer Data"), including tasks, notes, transcripts, calendar data, and any other content you create or upload. We do not claim ownership of your Customer Data.

You grant us a limited licence to use, process, and store your Customer Data solely as necessary to provide, maintain, and improve the Service. We will not sell your Customer Data to third parties or use it for advertising purposes.

You may export your Customer Data at any time using the export features available in the Service or by contacting us. Upon account deletion, we will delete your Customer Data in accordance with our Privacy Policy.

8. Service Availability

We strive to maintain high availability of the Service and target an uptime of 99.9% measured on a monthly basis, excluding planned maintenance windows. However, we do not guarantee uninterrupted or error-free operation.

We may temporarily suspend access to the Service for maintenance, updates, or security reasons. We will endeavour to provide advance notice of planned downtime and to schedule maintenance during off-peak hours.

We are not liable for any downtime, data loss, or damages resulting from service interruptions caused by factors beyond our reasonable control, including but not limited to third-party infrastructure failures, internet outages, or force majeure events.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • In no event shall Stratium, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Service.
  • Our total aggregate liability for any claims arising under or in connection with these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, the above limitations apply to the fullest extent permitted by applicable law.

10. Indemnification

You agree to indemnify and hold harmless Stratium, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your Customer Data.

11. Termination

Either party may terminate these Terms at any time:

  • By you: you may cancel your subscription and close your account at any time through your account settings or by contacting us.
  • By us: we may suspend or terminate your access to the Service immediately if you breach these Terms, if required by law, or if we discontinue the Service entirely (with reasonable notice).

Upon termination, your right to use the Service will cease immediately. We will retain your Customer Data for up to 30 days after termination to allow you to export it, after which it will be deleted in accordance with our Privacy Policy.

Sections that by their nature should survive termination will remain in effect, including but not limited to: Intellectual Property, Data Ownership, Limitation of Liability, Indemnification, and Governing Law.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13. Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

If you do not agree with the revised Terms, you must stop using the Service and cancel your subscription before the changes take effect.
